Wholesale Terms and Conditions:

1. The prices listed on the wholesale price list are for wholesale purchases only and are subject to change without prior notice. Minimum Order Quantity (MOQ): A minimum order quantity of 10 copies per title or a total minimum order value of [Currency] [Amount] is required for all wholesale orders. All wholesale orders must be submitted in writing (e.g., via email or a designated order form). The seller reserves the right to accept or reject any order at their discretion.

2. Payment Terms:

   • Payment is due within 30 from the invoice date, unless otherwise agreed in writing.

   • Currency: All payments must be made in US Currency via Paypal invoice issued by Reesa Shayne Books LLC to wholesale buyer

   • Late Payment: The seller reserves the right to suspend future shipments for accounts with outstanding balances.

3. Shipping and Delivery:

   • Shipping Costs: Shipping costs are the responsibility of the buyer and will be calculated based on the order size, weight, and destination. The shipping method will be determined by the seller unless otherwise specified and agreed upon in writing by both parties.

   • Delivery Time: Estimated delivery times will be provided upon confirmation of the order. The seller is not responsible for delays caused by the shipping carrier.

   • Shipping Address: Books will be shipped to the address provided by the buyer on the wholesale order. The buyer is responsible for ensuring the accuracy of the shipping address.

4. Returns and Exchanges:

   • No Returns for Resale: Unless the books are damaged or there was an error in the order fulfillment by the seller, returns for resale are generally not accepted.

   • Damaged Goods: Any claims for damaged books must be reported in writing within [Number] days of receipt, accompanied by photographic evidence of the damage. The seller will, at their discretion, arrange for a replacement or credit for the damaged copies.

   • Incorrect Orders: If the buyer receives an incorrect order, they must notify the seller in writing within [Number] days of receipt. The seller will arrange for the correct items to be shipped or issue a credit upon return of the incorrect items in their original condition.

5. Intellectual Property and Resale:

   • Copyright: The copyright and all other intellectual property rights in the book(s) remain with the author.

   • Resale Rights: Purchase of books at wholesale grants the buyer the right to resell the books to end consumers. However, the buyer may not reproduce, distribute, or create derivative works from the books without explicit written permission from the author.

   • Minimum Resale Price (Optional): The buyer agrees to adhere to the suggested minimum retail price (MSRP) provided by the seller, unless otherwise agreed upon in writing. This is to maintain the perceived value of the book in the market.

6. Governing Law: These terms and conditions shall be governed by and construed by the laws of the state of Georgia. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Georgia.

7. Entire Agreement: These terms and conditions, along with the wholesale order and invoice, constitute the entire agreement between the buyer and the seller and supersede all prior or contemporaneous communications and proposals, whether oral or written.
